Terms and Conditions


These Terms and Conditions ("Agreement") govern the relationship between Sharp's Custom Furniture & Design, LLC, a Nevada-based company ("we," "us," or "the Company"), and the client ("you" or "the Client") for all upholstery, restoration and repair services, including custom furniture upholstery, reupholstery, fabric selection, and related services, structural repair. By engaging our services or placing an order, you agree to be bound by these terms.


1. Acceptance of Terms

1.1. This Agreement applies to all services and goods provided by the Company, including but not limited to upholstery, reupholstery, custom furniture design, and furniture repair.


1.2. You must be at least 18 years old to enter into a contract with us. If you are under 18, you must have parental or guardian consent, and we reserve the right to refuse service.


1.3. This Agreement, along with any written quotation, estimate, or scope of work ("Quotation"), forms the legally binding contract between you and the Company. In case of conflict, the Quotation prevails.


1.4. We reserve the right to amend these terms at any time. Updated terms will apply from the date of publication on our website (www.sharpsfurniture.com). Check regularly for updates.


2. Services

2.1. We provide upholstery services, including reupholstering furniture, custom furniture design, fabric selection, cushion design, furniture repair, and restoration.. Services are detailed in the Quotation.


2.2. All services are subject to material availability. We will notify you of delays due to supply issues (e.g., specialty fabrics, and supplies) and adjust timelines accordingly.


2.3. Additional work (e.g., frame repairs, spring replacements, or custom EPS foam shaping) not included in the original Quotation requires written confirmation and agreed pricing before proceeding.


3. Client Responsibilities

3.1. You agree to provide accurate measurements, specifications, and information (e.g., furniture dimensions, fabric preferences, or EPS foam requirements) to enable us to perform services. Failure to provide necessary information may result in delays or incomplete work, for which we are not liable unless negligent.


3.2. For client-supplied materials (e.g., fabrics, EPS foam, or concrete additives), you are responsible for ensuring compliance with applicable regulations, including the Furniture and Furnishings (Fire) (Safety) Regulations 1988 for fabrics and fillings used in furniture manufactured after 1950. If non-compliant, you must sign a disclaimer accepting liability for any risks, including personal injury.3.3. Old covers, fillings, or EPS foam will be discarded unless you request their return in writing at the time of order.3.4. For concrete furniture, you must confirm the suitability of EPS foam density (e.g., 1 pcf for lightweight cores, 3-5 pcf for structural platforms) and approve mold designs before production begins.

4. Materials and Compliance

4.1. Fabrics and fillings supplied by us comply with the Furniture and Furnishings (Fire) (Safety) Regulations 1988, using fire-retardant materials or FR interliners for furniture post-1950. Pre-1950 furniture is exempt.4.2. For client-supplied fabrics, a 20% surcharge may apply for handling, and we are not responsible for flaws, stretching, shrinking, fading, or non-compliance with fire safety regulations.4.3. EPS foam used in concrete furniture (e.g., Universal Construction Foam’s 1-3 pcf EPS or Alleguard’s high-density EPS) will be specified in the Quotation. We are not liable for defects in client-supplied foam or concrete materials.4.4. We reserve the right to refuse materials (e.g., fabrics, foam, or concrete additives) if they are unsuitable, unavailable, or outside the project budget.

5. Payment Terms

5.1. A non-refundable deposit of 40% is required to confirm an order. The balance is due in full one day before delivery or upon collection.5.2. Accepted payment methods include credit/debit cards (excluding AMEX), cash, or bank transfer (BACS). Full payment is required for stock or clearance items at the time of order.5.3. Late payments incur a 1.5% monthly interest charge on overdue balances.5.4. Quotations are valid for 30 days unless withdrawn earlier. Prices include VAT at the applicable rate.5.5. For concrete furniture projects, additional costs (e.g., custom EPS foam cutting, shipping from suppliers like Foam Factory, or concrete sealers) will be detailed in the Quotation.

6. Delivery and Installation

6.1. Delivery timelines are estimates and subject to material availability (e.g., EPS foam or fire-retardant fabrics). We will inform you of delays.6.2. You are responsible for ensuring access for delivery (e.g., doorways, stairwells). We are not liable for costs related to removing windows or other structural modifications.6.3. Free delivery is offered for orders over $1,000 within a 30-mile radius of [Your Business Address]. Additional charges apply for heavy or bulky items (e.g., concrete furniture with EPS cores).6.4. If delivery is not possible or you are unavailable, items will be returned to our warehouse, and you will be charged for redelivery and storage ($70/week per item, max 3 months). Unclaimed items may be disposed of without compensation after 3 months.6.5. You must inspect goods upon delivery and report defects within 24 hours.

7. Cancellations and Returns

7.1. Orders for custom or made-to-order goods (e.g., custom concrete furniture with EPS foam cores) cannot be canceled once production begins, and deposits are non-refundable.7.2. Stock or clearance items may be returned within 14 days in resaleable condition for a full refund, excluding specially ordered or cut materials (e.g., fabrics, EPS foam).7.3. For cancellations of off-premises contracts (e.g., signed at your property), you may have cancellation rights under consumer protection laws. Contact us to confirm applicability.7.4. You are responsible for return shipping costs unless the goods are defective.

8. Guarantees and Liability

8.1. We offer a 12-month guarantee on craftsmanship for domestic clients, covering defects in upholstery work or EPS foam integration in concrete furniture. This does not cover normal wear and tear, misuse, or client-supplied materials.8.2. Commercial or contract projects have a separate 12-month craftsmanship guarantee, agreed upon in writing.8.3. We are not liable for damage to your property during delivery or collection, or for goods in transit via third parties, unless caused by our negligence.8.4. Our total liability is limited to the amount paid under this Agreement, excluding indirect, consequential, or economic losses (e.g., loss of profits, goodwill). Liability for death, personal injury, or fraud is not excluded.8.5. For concrete furniture, we are not responsible for long-term behavior of client-supplied EPS foam or concrete (e.g., cracking, staining), unless caused by our negligence.

9. Intellectual Property

9.1. All designs, images, and content on our website ([Your Website URL]) are owned by the Company or its licensors and are protected by copyright laws. You may not reproduce or use them for commercial purposes without written consent.9.2. We may use anonymized images of your furniture (e.g., reupholstered pieces or concrete furniture) for promotional purposes unless you object in writing at the time of order.9.3. Designs for custom concrete furniture using EPS foam (e.g., molds, foam specifications) remain our intellectual property unless otherwise agreed.

10. Privacy

10.1. We collect and store client information (e.g., name, address, email) to process orders and may use it for marketing unless you opt out. We comply with the General Data Protection Regulation (GDPR) and U.S. privacy laws.10.2. We share contact details with couriers for delivery purposes only. You may update or remove your details by contacting us at [Your Email Address].10.3. Our website uses cookies. 11. Dispute Resolution

11.1. Complaints will be addressed promptly to reach a resolution. If unresolved, disputes may be referred to the Association of Master Upholsterers and Soft Furnishers for arbitration, which may incur a fee.11.2. For non-payment issues (e.g., delayed payments for projects), we may send a demand letter or pursue legal action. You are responsible for legal fees if we prevail.11.3. This Agreement is governed by the laws of [Your State, USA]. Any disputes will be resolved in the courts of [Your County, State].

12. Force Majeure

12.1. We are not liable for delays or failure to perform due to events beyond our control (e.g., supply chain disruptions for EPS foam, concrete, or fabrics). We will notify you and propose solutions.

13. Miscellaneous

13.1. If any provision of this Agreement is deemed unenforceable, the remaining provisions remain in effect.13.2. You may not transfer your rights under this Agreement without our consent. We may transfer our rights or subcontract services without notifying you.13.3. This Agreement supersedes all prior agreements and constitutes the entire understanding between you and the Company.
